This Non-Disclosure Agreement ("Agreement") is entered into between Tedile ("Tedile") and the service provider identified in the signature section ("Provider"). It applies from the date signed by the Provider.

1. Purpose

The Provider may receive confidential information in order to onboard with Tedile, receive booking opportunities, perform services, communicate with customers and use Tedile's platform. This Agreement limits how that information may be used and disclosed.

2. Confidential Information

"Confidential Information" includes non-public information disclosed through Tedile or by its users, including customer names, phone numbers, addresses, precise locations, booking details, access instructions, messages, pricing or quote information, account information, internal Tedile procedures, provider-management information, security information, technical details, business plans and other information that a reasonable person would understand to be confidential.

3. Provider obligations

The Provider agrees to:

4. Permitted disclosure

The Provider may disclose Confidential Information only where required by applicable law, court order or lawful governmental authority, and should notify Tedile beforehand where legally permitted. Disclosure must be limited to what is legally required.

5. Exclusions

This Agreement does not restrict information that the Provider can demonstrate was lawfully known without a confidentiality duty, becomes public through no breach of this Agreement, is lawfully received from a third party without a confidentiality obligation, or is independently developed without use of Confidential Information.

6. Personal data

Customer and user personal data must be treated as confidential and processed only for the purpose for which Tedile made it available. The Provider must follow applicable privacy and data-protection law and Tedile's reasonable privacy and security instructions.

7. Ownership and no licence

Confidential Information remains the property of the person or entity entitled to it. No intellectual-property right or licence is granted except the limited right to use information as necessary for the permitted purpose.

8. Duration

The Provider's confidentiality obligations continue while the Provider uses Tedile and for three years after the Provider relationship ends. Obligations relating to personal data, credentials, trade secrets or information that remains legally protected continue for as long as required by applicable law or while the information remains protected.

9. Breach

A material breach may result in suspension or termination of provider access and may expose the Provider to other remedies available under applicable law. Tedile may take reasonable steps to protect affected users and systems.

10. Governing law

This Agreement is governed by the laws of India. Disputes are subject to the jurisdiction of the competent courts or authorities under applicable Indian law.

11. Entire agreement and updates

This Agreement records the confidentiality obligations described above and may be supplemented by a provider service agreement, privacy requirements or other written Tedile policies. Any signed version should be retained with the Provider's onboarding records.
